Terms and Conditions

These terms govern your access to and use of Orybit's bespoke engineering services, cloud software products, client portals, and web properties.

Effective Date: January 1, 2026 Last Updated: November 2026 Version 2.4

Important Summary

By accessing Orybit's website, contracting engineering services, or subscribing to our software platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must discontinue use immediately.

1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you (whether individually or on behalf of an entity) and Orybit ("Company", "we", "us", or "our"), governing your access to and use of our website, web applications, mobile applications, APIs, and associated digital engineering services.

Supplemental terms, Statements of Work (SOW), and service contracts executed between Orybit and the client shall be incorporated herein by reference and shall prevail in the event of an express conflict.

2. Services and Deliverables

Orybit designs, develops, deploys, and maintains bespoke software solutions, proprietary SaaS platforms, developer tools, cloud architectures, and machine learning integrations.

  • Custom Development: Deliverables shall conform to specifications defined in mutually signed Statements of Work.
  • SaaS Platforms: Software products developed and published by Orybit are provided on a subscription or licensing basis subject to platform-specific service tiers.
  • Modifications: We reserve the right to alter, enhance, or deprecate non-contracted features or public tools with reasonable advance notice.

3. Intellectual Property Rights

Client Deliverables: Upon receipt of full payment under an executed agreement, all custom source code, assets, and design files specifically engineered for the client become the client's intellectual property, unless explicitly stipulated otherwise.

Proprietary Studio Assets: Orybit retains all right, title, and interest in and to pre-existing code libraries, architectural frameworks, developer tooling, proprietary algorithms, and brand trademarks developed independently by Orybit.

Showcase Rights: Unless subject to an explicit non-disclosure agreement (NDA), Orybit reserves the right to showcase completed project outcomes, non-confidential case studies, and visual previews in our public portfolio.

4. Client Responsibilities

To ensure timely execution and project success, clients agree to:

  • Provide accurate requirements, domain assets, credentials, and access permissions in a timely manner.
  • Review sprint milestones, prototypes, and staging releases within the agreed feedback windows.
  • Ensure that any text, media, datasets, or third-party APIs supplied do not infringe on intellectual property or violate applicable privacy regulations.
  • Maintain the confidentiality of administrative credentials and portal access keys.

5. Fees and Payment Terms

Fees for bespoke engineering are structured around project milestones, time-and-materials, or dedicated retainers as specified in each contract.

  • Invoicing: Invoices are payable within 14 days of receipt unless custom payment schedules are agreed in writing.
  • Late Payments: Overdue invoices may incur a statutory interest charge of 1.5% per month or the maximum permissible by law, and work may be paused until balances are settled.
  • Taxes: All fees are exclusive of applicable value-added taxes, sales taxes, or duties, which shall be borne by the client.

6. Confidentiality and Data

Both parties agree to treat all business plans, customer data, technical architectures, proprietary trade secrets, and non-public codebases as strictly confidential. Neither party shall disclose confidential information to any third party without prior written authorization, except as required by law.

Our collection and handling of client and user data is further governed by our Privacy Policy.

7. Warranties and Disclaimers

Orybit warrants that deliverables will be performed in a professional, workmanlike manner adhering to current software engineering standards.

Except as expressly provided in an active SLA, our services, software, and tools are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business interruption, arising out of or related to these terms.

The total cumulative liability of Orybit for any claims arising under or related to an engagement shall not exceed the total fees paid by the client to Orybit in the three (3) months preceding the event giving rise to liability.

9. Term and Termination

Either party may terminate a project agreement upon 30 days written notice, or immediately upon written notice if the other party breaches any material term and fails to cure such breach within 14 days of receiving notice.

Upon termination, the client shall pay for all work completed up to the effective termination date. Provisions concerning intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

10. Governing Law

These terms shall be governed by and construed in accordance with applicable laws without regard to conflict of law principles. Any dispute arising out of or relating to these terms shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or courts of competent jurisdiction.

11. Amendments

We may revise these Terms and Conditions periodically to reflect changes in regulatory standards, business practices, or service capabilities. Updated versions will be published on this page with an amended "Last Updated" timestamp. Continued engagement following any updates signifies acceptance of the revised terms.
